Terms and Conditions for Shopee Live XTRA Program

  1. The following terms and conditions govern your participation in the Shopee Live XTRA Program (“Program”) provided by Shopee Singapore Private Limited on Shopee’s website and mobile applications (“Platform”).

 

  1. The Program is a feature on Shopee where certain approved sellers (“Sellers”) will be able to enjoy the rights and privileges described in these Terms and Conditions for Shopee Live XTRA Program (“Terms and Conditions”).

 

  1. By participating in this Program, a Seller accepts and agrees to be bound by these Terms and Conditions, in addition to the Terms of Service, the Shopee Policies and/or all other applicable terms and conditions, which are incorporated by reference.

 

Eligibility

 

  1. Only individuals:
    1. with registered and valid Shopee accounts; and
    2. who received a separate written notification from Shopee informing them of the invitation to participate in the Program,  

 

are entitled to participate in the Program.

 

  1. Shopee shall have sole and absolute discretion in determining whether an individual is qualified to participate in and/or is disqualified from the Program. For example, an individual may be disqualified from the Program if any fraudulent activities are detected and have the user account terminated or suspended in accordance with Section 5.4 of Shopee Terms of Service.

 

Program Benefits

 

  1. The Program will commence on 29 Jul at 22:45.

 

  1. Sellers shall receive the following marketing support from Shopee:
    1. Shopee-sponsored Shopee Livestream exclusive vouchers (“Live XTRA Vouchers”) that will appear in a Seller’s orange bag during Livestreams;
    2. Feature as a Seller on Shopee Livestream banners and microsites; and
    3. a Live XTRA UI Tag beside a Seller’s product.

 

Program Fees

 

  1. Shopee will charge each participating Seller a 1.64% service fee (GST-inclusive) for each SKU successfully purchased via Shopee Live (“Service Fee”), including those transacted with or ordered from/through other Sellers or affiliates under the Shopee Affiliate Program featuring a participating Seller’s products (“Qualified Transaction”).

 

  1. Unless otherwise determined by Shopee, in its sole discretion, and notified to a Seller, the Service Fee per Qualified Transaction will be capped at SGD 30 per item and will be charged by Shopee on top of any other paid promotional campaign participating Seller is currently enrolled in (e.g.,Coins Cashback Special etc). For the avoidance of doubt, the Service Fee shall be charged on all Qualified Transactions placed during the participation of Program, even if such Qualified Transaction is completed after the seller’s offboarding of the Program.

 

  1. Following the successful completion of a Qualified Transaction, Shopee shall deduct the Service Fee from the Buyer’s Purchase Monies, before remitting the remaining Buyer’s Purchase Monies to the Seller in accordance with Section 12.2 of Shopee Terms of Service. Shopee shall issue receipts or invoices for the Live XTRA amount paid by the Shopee Cashback Special Seller on request.

 

  1. For the avoidance of doubt, the Live XTRA Transaction Fee Amount under these Terms and Conditions applies in addition to the Transaction Fee and Tax Amount under the Terms of Service.

 

Free Trial

 

  1. Shopee may offer free trials of the Program to certain Sellers who are not enrolled in the Program as of the start date of a trial period (“Trial Period(s)”) and who have been selected by Shopee at its sole discretion (“Selected Sellers”).

 

  1. Offers for Trial Periods will be communicated by Shopee to the Selected Sellers separately.

 

  1. During the Trial Period, no Service Fee shall be charged to Selected Sellers. Shopee reserves the right to modify or terminate the Trial Periods without prior notice at any time at its sole discretion.

 

  1. After the Trial Period, all Selected Sellers will be auto-opted into the Program and will be charged the Service Fee of 1.64% service fee (GST-inclusive) for each SKU, unless they opt out before the Trial Period expires. If a Selected Seller does not opt out before the end of the Trial Period, it is understood that the Selected Seller wishes to continue participating in the program and the Selected Seller’s continued participation in the Program shall constitute acceptance of such revised Program Terms and Conditions.

 

Opt-in & Opt-Out of Program

 

  1. The Program’s opt-in period is weekly with cut-off every Tuesday at 17:00 . Live XTRA Vouchers will be reflected in the orange basket of Sellers who have successfully opted in to the Campaign on or before Tuesday at 17:00 , by 22:45 on the same Tuesday. Sellers who opt in after Tuesday 17:00 will have the vouchers reflected by 22:45 on the following Tuesday.

 

  1. The Program's opt-out period is also weekly with cut-off every Tuesday at 17:00. Live XTRA Exclusive Vouchers will be removed from the orange basket of participating Sellers who have successfully opted out of the Campaign on or before Tuesday at 17:00, by 22:45 on the same Tuesday. Sellers who opt out after Tuesday 17:00 will have the vouchers removed by 22:45 on the following Tuesday.

 

  1. For the avoidance of doubt, all valid opt-in and opt-out requests made beyond the cut-off periods set out above will strictly be processed by Shopee during the next opt-in or opt-out period (as the case may be), subject to lock-in period(s) consequent to availment of preferential Service Fee rate(s), if applicable.

 

  1. Sellers shall have thirty (30) days within which to file their dispute concerning the charging of any Service Fee and/or their participation in the program, from the end of the Trial Period or opt-out period (should they continue to be charged Service Fee despite opting out following the procedure set forth above), whichever is applicable, after which, any such claim or dispute by such Seller shall be deemed waived and/or abandoned and can no longer be filed or raised

 

Miscellaneous

 

  1. The right to participate in the Program or to Program benefits may not be transferred or assigned to any third party or other shop ID.

 

  1. By participating in the Program, a Seller agrees that a Seller shall:
    1. comply with all applicable laws and regulations when participating in the Program;
    2. comply with the Shopee Policies; and
    3. not participate in the Program in any manner which may adversely affect other individuals or the goodwill or reputation of Shopee. 

 

  1. The Program and the Platform are provided on an “as is” and “as available” basis and subject to the availability and functionality of Shopee’s services. Shopee does not make any representation, warranty and/or undertaking on the performance and capability of the Platforms; any software or hardware used to access and participate in the Program, including an individual’s access and use of the Platform; and the reliability or quality of the underlying telecommunications network accessed and used by an individual to participate in the Program.

 

  1. If for any reason any aspect of the Program is not capable of running as planned, due to reasons such as communications network failure, bugs, tampering, fraud, technical failure or any cause beyond the control of Shopee, Shopee may cancel, terminate, modify and/or suspend the Program and nullify any Program benefits.

 

  1. Shopee reserves the right to make final decisions and resolve disputes regarding the Program. In this regard, Shopee may disqualify a Seller from participating in the Program (as further outlined in Section 5 of the Terms and Conditions), to forfeit any Program benefits and/or to take any other action pursuant to the Shopee Policies, if Shopee determines (at its sole and absolute discretion) that a Seller has engaged in any suspicious, fraudulent, illegal acts, abuse the Program or otherwise breached these Terms and Conditions and/or any of the Shopee Policies (including by opening more than one Shopee account). 

 

  1. To the maximum extent permitted by applicable laws, Shopee will not be liable for any claims, costs, injuries, losses or damages of any kind whatsoever arising out of or in connection with this Program, including but not limited to any losses; direct, indirect, incidental punitive and consequential damages; fines; regulatory actions; claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, right of publicity or privacy, defamation, or portrayal in false light.

 

  1. Shopee reserves the right to vary these Terms and Conditions without notice, or withdraw or discontinue the Program at any time without any notice or liability to any party. You as a Seller agree that you are responsible for accessing, reviewing and keeping yourself updated on all amendments. Your continued participation in the Program after any amendments shall be deemed as your confirmation and acceptance of such amendments and all the amendments shall be valid and applicable to you.

 

  1. A Seller shall be responsible for all applicable taxes, duties, government fees and other charges arising due to your participation in the Program.

 

  1. Shopee shall not be liable to fulfil any obligations under these Terms and Conditions due to circumstances or events occurring beyond Shopee’s control, including but not limited to acts of God, natural disasters, pandemic or epidemic, governmental actions or restrictions, internet or telecommunications failures, cyberattacks, server outages, third-party platform disruptions, labour disputes or acts of war or terrorism. 

 

  1. In the event of any inconsistency between these Terms and Conditions and any marketing or Program materials, these Terms and Conditions shall prevail.

 

  1. Any and all rights of interpretation and explanation of these Terms and Conditions are exclusively reserved by Shopee. Shopee acknowledges that Shopee, and not any third party, is responsible for addressing any claims that you or any third party may have in relation to the Program.

 

  1. Any reference to a time of day is a reference to Singapore time unless otherwise stated.
