Shopee International Platform Terms of Service

1. Introduction

 

1.1 Welcome to the Shopee International Platform Program (“Program”).  This Program is an additional service provided by Shopee Singapore Private Limited, SCommerce Private Limited, and their affiliates and subsidiaries (“Shopee”) where Shopee-registered Sellers based in Singapore (“you” or “Seller”) that list items for sale on or through the website https://shopee.sg/  (“SG Site”) via a shop on the SG Site (“SG Shop”) may simultaneously list their products on and through the website, and mobile app, or any other internet domain property of Shopee or its affiliates (hereinafter collectively referred to as “Overseas Sites”). This Shopee International Platform Terms of Service (“SIP TOS”) is intended to cover the activities provided by Shopee to Sellers under this Program including, without limitation, collecting, reconciling and executing all transactions between Seller and an overseas Buyer under this Program. If you are a Seller, you will be deemed to have consented to the terms and conditions of the SIP TOS and other Shopee Policies, of which this SIP TOS forms a part, by your continued participation in the Program. This SIP TOS supplement the Terms of Service and the other Shopee Policies – please read the Terms of Service and the other Shopee Policies available on the SG Site and Overseas Sites as they contain important information regarding your rights and obligations. Any terms used in this SIP TOS that are not defined here will have the meanings given to such terms in the Terms of Service and/or the applicable Shopee Policies. All terms and conditions described in this SIP TOS are subject to change at Shopee’s discretion pursuant to the Terms of Service. 

 

1.2 Shopee reserves the right to change, modify, suspend or discontinue all or any part of this Program at any time or upon notice as required by local laws. Shopee may release certain services of the Program or their features in a beta version, which may not work correctly or in the same way the final version may work, and we shall not be held liable in such instances. Shopee may also impose limits on certain features or restrict your access to parts of, or the entire, Program in its sole discretion and without notice or liability.

 

1.3 If you wish to withdraw from the Program, you are required to submit the offboarding form here. Once we have received your form, we will proceed to remove your listings from the Overseas Sites. Please note that it may take up to 10 days for all your listings to be removed from the Overseas Sites and you are required to continue to fulfill any orders made during this period.

 

1.4 In the event of any discrepancies between the terms in the Shopee Policies and this SIP TOS, this SIP TOS shall continue to apply.

 

 

2. Dual-listing of items on SG Site and Overseas Sites

 

2.1 By participating in the Program, Seller authorizes Shopee to enable your shop and items to be listed for sale on your behalf on the Overseas Sites (“Overseas Shop”). The services provided by Shopee shall include creating, maintaining and removing listings, chat services, inventory services, reporting services and collection and remittance of sale proceeds (“Services”).

 

2.2 You will decide the category and quantity of items for sale in your SG Shop. As part of the Program, all items listed by you on the SG Shop will be listed on the Overseas Shop by default, unless (i) otherwise limited by Shopee, (ii) the items are restricted in accordance with the laws of Singapore or the laws of the country where the Overseas Shop is published, or (iii) you request specific items to be excluded from the Overseas Sites.

 

2.3 The Overseas Shop shall offer the same products that Seller lists for sale on its SG Shop. The price of items listed in the Overseas Shop  shall be determined by the Seller and Shopee can adjust the price accordingly to incorporate logistics costs, import and customs duties and taxes, exchange rate fluctuations and conversion, costs of Overseas Site’s campaigns and programs, and fees related to the Services, in the local currency of the Overseas Sites (“Overseas Listing Price”). The price of items listed in the SG Shop (“SG Listing Price”) shall continue to be determined by the Seller, at its sole discretion.

 

2.4 You agree that each sale through the Program will only be consummated, and title and risk to the purchased item will only be transferred to the overseas Buyer, at the time the overseas Buyer has received the item without any claims/disputes in accordance with the Shopee Guarantee. For the avoidance of doubt, Shopee shall not take title, or bear any inventory risk, of any goods sold through the Program at any time whatsoever.

 

3. Sale of items on Overseas Sites

 

3.1 Upon the sale of an item under this Program on the Overseas Sites:

 

a) Seller shall, at its sole cost, arrange to have the purchased item delivered to an address notified by Shopee, including but not limited to preparing and arranging for the purchased item to be shipped to the relevant warehouse designated by Shopee;  
    

b) Shopee shall collect the Overseas Listing Price from the overseas Buyer in the local currency; and

 

c) Shopee shall remit only the Overseas Listing Price to the Seller in Singapore Dollar (less any Shopee commission fees, transaction fees and any other applicable deductions and taxes). Save for the aforesaid, the Seller shall not be entitled to any other sum pursuant to the sale of an item under this Program. 

 

3.2 The order shall be subject to reasonable inspection by Shopee and Shopee may reject any products that are defective, not in accordance with the requirements under the order, are reasonably believed to be counterfeit, are prohibited items, are deemed as dangerous, are different from the listed item purchased by the overseas Buyer, where the parcels are damaged, empty and/or exceed the dimension and/or weight limits determined by third party logistics providers and/or other conditions and requirements determined by third party logistics providers, where the Seller is involved in suspicious activities, where the Seller is a drop shipper, or where the Seller is otherwise in breach of the Terms of Service or Shopee Policies (“Rejected Items”). Shopee has the right to seek refund from the Seller and may return Rejected Items to the Seller (the cost of such return shall be borne by the Seller, if determined by Shopee), and, where Shopee has already remitted net proceeds to Seller for the item, Shopee shall deduct the SG Listing Price and the cost to ship the Rejected Item back to Seller from Seller’s Seller Balance.  

 

3.3 Seller acknowledges and agrees that Shopee merely acts on behalf of Seller in arranging for the delivery of the products to the overseas Buyer. As such, Seller shall provide the accurate weight of each item delivered to Shopee under this Program and ensure that the packaging and delivery of the product complies with applicable laws.           

 

3.4 Before shipment, you shall properly package the item in accordance with the packing standards specified on the SG Site. Shopee shall not be liable for, and you shall hold Shopee harmless from, any Non-Completion Events (as defined in clause 4.5) caused by your failure to comply with this clause.

 

3.5 In the event Seller provides inaccurate weight information for any item, Shopee reserves the right to impose penalty points and/or withhold, deduct or otherwise recover from the Seller any losses suffered by Shopee as a result of such inaccurate information (including, but not limited to, additional shipping costs).

 

3.6 In the event that Seller purchases a marketing package in the form of an advertising package on the Overseas Sites, Seller agrees and understands that (a) all provisions for purchasing and installing marketing packages in each country where the Overseas Site operates will apply to Seller and (b) Seller hereby agrees to be bound by the terms and conditions that apply to each of the Overseas Sites.

 

4. Obligations, Representations, and Warranties

 

4.1 Nothing in this SIP TOS shall release Seller from any of its obligations, liabilities, representation or warranties to an overseas Buyer and Shopee, pursuant to the Terms of Service, Shopee Policies or by operation of law in relation to its products.

 

4.2 For avoidance of doubt, any fees applicable to Seller as provided in the Terms of Service and the Shopee Policies, shall continue to apply.

 

4.3 You also warrant that the listings made available on the Overseas Sites shall not infringe upon the copyright, trademark or other intellectual property rights of third parties and the publication and distribution of the listings on the Overseas Sites will not infringe the rights of any third parties.

 

4.4 Purchased items that are sold to overseas Buyer through the Program and have been exported outside of Singapore shall not be returnable to Seller or refundable to overseas Buyer by Sellers, with the exception of defective goods. Subject to clause 2.4, Seller agrees that Shopee: (i) may provide a remedy to the overseas Buyer (at its sole discretion), (ii) may dispose of the purchased item (at its sole discretion), and (iii) has no obligation to return the purchased item to Seller.    

 

4.5 If transaction under this Program cannot be completed for any reason before the purchased items have been exported outside of Singapore (“Non-Completion Event”), you have the right to request a return of the item at your own expense within three (3) business days from the date of the Non-Completion Event (“Return Request Period”). If you do not request a return of the item within the Return Request Period, you are deemed to have waived your right to request a return of the item, and you hereby agree and authorize Shopee to destroy or dispose of the relevant purchased item at your expense. If you request a return or refund of the purchased item, you shall bear all costs associated with its return to you. The returned purchased item can be returned to you at the warehouse designated by Shopee or the address designated by you in Singapore.

 

5. Limitations of Liability; Indemnity

 

5.1 Shopee does not assume any express or implied warranties or guarantees, or other liability to you in relation to the Program.

 

5.2  Shopee is not a party to the transaction between you and the overseas Buyer, and does not have any obligation to participate in any dispute resolution process related to an order placed with you by an overseas Buyer. You will independently assume legal responsibility for all claims, disputes, and liability associated with all sales in the Program.

 

5.3 By listing and selling items through the Program, you are directly entering into a sales transaction with overseas Buyers. Except for the rights and obligations stipulated in this SIP TOS, Shopee shall not assume any responsibility or warranty for the items that you list for sale. Shopee is not responsible for any damages, investigations, or penalties, including damages caused to any third parties, arising from the listing of your items. Shopee reserves the right to cancel any order created through the Program in the event that the transaction violates or is likely to violate the law or the Shopee Policies.

 

5.4 You agree to indemnify, defend and hold harmless Shopee, and its shareholders, subsidiaries, affiliates, directors, officers, agents, co-branders or other partners, and employees (collectively, the "Indemnified Parties") from and against any and all claims (whether through legal forum or not), actions, proceedings, investigations, regulatory inquiries and suits (hereinafter a “Proceeding”) and all related liabilities, damages, settlements, penalties, fines, costs and expenses (including, without limitation, any legal fees or other dispute resolution expenses) incurred by any Indemnified Party arising out of or relating to: (a) any transaction made on the Overseas Sites, or any dispute in relation to such transaction, (b) the Shopee Guarantee, (c) your violation or breach of any term of this SIP TOS or any policy guidelines referenced herein, (d) your use or misuse of any of the Services, (e) your breach of any law or any intellectual property rights or other rights of a third party, or (f) any Content uploaded by you.

 

5.5 In the event of any Proceeding against or directed at Shopee or any Indemnified Parties in any overseas jurisdiction in which your products are listed for sale pursuant to the Program, you agree that Shopee or any Indemnified Parties subject to such Proceeding may implead or name you, or disclose your identity and related information, in any such Proceeding and that you, to the fullest extent permissible under the applicable law, (a) will consent to and will not oppose the exercise of jurisdiction over you in any such Proceeding, (b) will not assert any claims, counterclaims, or cross-claims against Shopee or any Indemnified Parties in any such Proceeding, and (c) will consent to accept service of process in connection with any such Proceedings, and will consent to service via email insofar as service via email is deemed to be a valid form of service under law.  

 

6. Disclosure of Information

 

6.1. You acknowledge and agree that your legal information on the SG Site including any information or documents you have provided to Shopee as a Seller may be disclosed by Shopee at the request of any government authorities whether in Singapore or overseas (such as import and export declarations, and invoice issuance) to protect the legitimate rights and interests of consumers and implementation of laws and regulations.

 

6.2. You shall not disclose to third parties any non-public information or data provided to you by Shopee.

 

7. Shopee’s Rights and Obligations

7.1. Shopee reserves the right to vary or limit the type and quantity of items in the Overseas Shop.

 

7.2. Shopee reserves the right to decide on the optimization of Overseas Shop and arrange other activities such as marketing, communication, and trade promotion.

 

7.3. Shopee reserves the right to charge you fees in accordance with this SIP TOS. Such fees are exclusive of sales, service, use, consumption, value-added, goods-and-services, business and any similar taxes. Such fees shall also be free of all withholding tax and if any withholding tax is required, such fees shall be increased such that after deduction of all amounts required to be withheld, the net amount of such fees will equal, on an after tax basis, the amount of fees that would be due absent such withholding.

 

7.4. In addition to 3.5 above, Shopee reserves the right to correct the declared weight of the item without notifying you if you fail to honestly or accurately declare the weight of the purchased item.

 

8. Withdrawal and Termination

 

8.1. Shopee may terminate your participation in the Program at any time, with or without reason, including but not limited to the following:

 

a) You breach any obligations, warranty or commitments under this SIP TOS;

 

b) You breach any of Shopee's policies, terms, regulations, notices; and/or

 

c) Shopee believes that you are not eligible to continue participating in the Program.
