1.         Introduction

1.1  The Shopee Supermarket membership programme (“Shopee Supermarket Membership Programme”) is a free membership programme that rewards loyal customers for purchases made on Shopee Supermarket’s official store page on Shopee Singapore (“Store”). 

1.2  The following terms and conditions govern all orders, transactions, and participation in the Shopee Supermarket Membership Programme provided by Shopee Singapore Private Limited (hereinafter referred to as “Shopee”) on Shopee’s websites and mobile applications (“Platforms”). 

1.3  By (i) accessing, interacting with, using and/or making orders on the Store; (ii) redeeming and/or using vouchers offered on the Store; and/or (iii) participating in the Shopee Supermarket Membership Programme; you agree to unconditionally and irrevocably be bound by, and shall be deemed to accept, these terms and conditions and any rules and regulations relating to the Shopee Supermarket Membership Programme (together, the “Shopee Supermarket Terms”), in addition to Shopee’s Terms of Service, Privacy Policy, Shopee’s Voucher Terms and Conditions, T&Cs for Shopee Games and/or Giveaway Events and all applicable terms and conditions and/or Shopee policies (“Shopee Policies” and together with these Shopee Supermarket Terms, the “Shopee Terms”), which are incorporated by reference into these Shopee Supermarket Terms. Capitalised terms used and not defined herein have the same meaning as given to such terms in the Shopee Policies.

1.4  By agreeing to these Shopee Supermarket Terms:

1. you understand that the information you provide to Shopee in relation to your access to, interaction with and/or usage of the Store will be collected by Shopee for the purposes of administering your participation in the Shopee Supermarket Membership Programme and providing you with the applicable services; and 
2. you agree, acknowledge and authorize Shopee to process any information you provide to Shopee in accordance with the Shopee Privacy Policy as well as applicable privacy laws and/or regulations. This includes the provision of information to applicable third parties to administer your participation in the Shopee Supermarket Membership Programme and information in relation to your access to, interaction with and/or usage of the Store.

2.         Eligibility

2.1  To be eligible to become a member of the Shopee Supermarket Membership Programme, you must: 

1. be a registered Shopee user; and 
2. join the Shopee Supermarket Membership Programme via the link provided on the Store page which is only accessible through the Shopee mobile application.

2.2  For the avoidance of doubt, only members of the Shopee Supermarket Membership Programme are entitled to the membership benefits outlined in these Shopee Supermarket Terms.

3.         Programme Tiers and Validity of Membership

3.3  The Shopee Supermarket Membership Programme offers the following three (3) membership tiers:

3.2  A member will begin as a Classic member once the application for the Shopee Supermarket Membership Programme is successfully processed. 

3.3  The Classic membership is valid for the entire duration of the membership with Shopee Supermarket. 

3.4  The eligibility to obtain a Silver or Gold membership will be based on the accumulated annual spend in the last twelve (12) months.

3.5  Silver or Gold membership will be effective on the next day at 0000 hours. 

4      Membership Benefits

Reward Points

4.1  Upon the successful process of your application for the Shopee Supermarket Membership Programme, you can start accumulating reward points for purchases of eligible products through the Store (“Supermarket Reward Points”).

4.2  Unless otherwise specified in these Shopee Supermarket Terms, the following products shall not be eligible for reward points under the Shopee Supermarket Membership Programme:

1. All stage 1 & 2 infant nutrition products;
2. Cancelled orders; and/or 
3. Returned orders. 

4.3  Supermarket Reward Points can be used by members to redeem Shopee Supermarket vouchers and other rewards on a first-come, first-serve basis. Shopee Supermarket vouchers are issued on a monthly basis. Shopee Supermarket rewards are added on a monthly basis. For the avoidance of doubt, the usage of the Shopee Supermarket vouchers and redemption of rewards are limited to the products on the Store only.  

4.4  Supermarket Reward Points will be reflected after orders have been completed where the member confirms orders receipt or the expiry of the applicable Shopee guarantee period, whichever is earlier (“Order Completion”).

4.5  Shopee reserves the right to withhold the issuance of Supermarket Reward Points accumulated until Order Completion.

4.6  Shopee may suspend the computation and accrual of Supermarket Reward Points to rectify any errors in computation or adjust the computation at its sole and absolute discretion, without providing any notice and/or reason.

Other Benefits

4.7  Vouchers and additional promotions may be issued to you from time to time and may be subject to specific terms and conditions as outlined at the time of issuance. 

5         General

5.1  You acknowledge and agree that you shall:

5.3  Shopee reserves the right to vary, modify and/or amend the terms and/or conditions of the Shopee Supermarket Membership Programme at its sole and absolute discretion without notice to you, including but not limited to the following:

1. terminate or modify the Shopee Supermarket Terms;
2. modify, adjust and/or recompute any Supermarket Reward Points awarded;
3. change and/or substitute any rewards, whether awarded or not;
4. modify or change the computation of and/or amount of Supermarket Reward Points to be awarded for qualifying transactions; 
5. modify or change the criteria for the award of Supermarket Reward Points including the validity period of such Supermarket Reward Points; and/or
6. modify or change any criteria and/or entitlements in relation to membership tiers.

5.4  Where Shopee deems that a member has committed fraud, illegal acts, or otherwise breached the Shopee Supermarket Terms, Shopee reserves the right, at its sole and absolute discretion, to:

1. cancel any orders, transactions and/or benefits placed, made and/or enjoyed by such member;
2. cancel, withhold, or void any Supermarket Reward Points in connection with the Shopee Supermarket Membership Programme;
3. reject any redemption and/or usage of rewards that have been tampered with or found in any way unacceptable; 
4. prevent or restrict access of such member to the Platforms;
5. terminate such member’s Shopee account and/or membership in the Shopee Supermarket Membership Programme;
6. report any activity it suspects to be in violation of any applicable law, statute or regulation to the appropriate authorities and to co-operate with such authorities; and/or
7. request the member to return Shopee the value of the rewards which have been used in breach of the Shopee Supermarket Terms; and/or
8. exclude such member from all future participation, redemption and/or usage of the Shopee Supermarket Membership Programme and/or rewards.

In the cases as specified in sections 5.3 and 5.4 above, such members shall not be entitled to claim against or hold Shopee responsible.

5.5  Redemption and usage of Shopee Supermarket vouchers and/or rewards under the Shopee Supermarket Membership Programme shall be subject to the applicable terms and conditions contained within or governing the redemption and/or usage of such Shopee Supermarket vouchers and/or rewards. 

5.6  The availability of the Shopee Supermarket Membership Programme shall be subject to the availability and functionality of resources including but not limited to the Platforms, the Store and the capability of Shopee’s systems. Shopee does not make any representation, warranty and/or undertaking on the performance and capability of the Platforms and/or any software or hardware used with the Shopee Supermarket Membership Programme and/or rewards, any application accessed by you using the Platforms, or the reliability or quality of the underlying telecommunications network accessed by you through the Platforms.

5.7  If for any reason any aspect of the Platforms, including but not limited to any aspects of the Store and the Shopee Supermarket Membership Programme, is not capable of running as planned, including by reason of computer virus, communications network failure, bugs, tampering, unauthorized intervention, fraud, technical failure or any cause beyond the control of Shopee, Shopee may invalidate, cancel, terminate, modify, and/or suspend any and/or such affected aspect of the Shopee Supermarket Membership Programme.

5.8  To the maximum extent permitted under applicable laws, Shopee shall not be liable for any claims, costs, injuries, losses or damages of any kind whatsoever (including but not limited to any losses; direct, indirect, incidental, punitive and consequential damages; fines; regulatory actions; claims; costs; injuries; losses or damages related to personal injuries, death, damage to, loss or destruction of property, right of publicity or privacy, defamation, or portrayal in false light) arising out of or in connection with the Shopee Supermarket Membership Programme, including but not limited to:

1. your breach of the Shopee Terms;
2. any alleged unauthorised transactions, disruptions, errors, defects or unavailability in relation to the Shopee Supermarket Membership Programme, the Store and/or the Platforms;
3. any loss of data or damage to any of your equipment; and/or
4. unsuccessful orders and/or transactions made under the Shopee Supermarket Membership Programme.

For the avoidance of doubt, rewards under the Shopee Supermarket Membership Programme shall be subject to availability and Shopee will not compensate any members for any accidental acts and/or omissions by such members in relation to the redemption and/or usage of rewards (including any accidental and/or erroneous redemption and/or application of rewards).

5.9  In the event that any liabilities are not excluded above, Shopee’s maximum aggregate liability to you, whether under all applicable laws of contract, tort or otherwise, shall be USD 50 (or the equivalent value of such amount in local currency), to the fullest extent permitted by law.

5.10  The Shopee Supermarket Membership Programme is different from and independent of the Platform-wide membership programme (Shopee Rewards) or any other memberships including but not limited to the Shopee Mum's Club and Shopee Beauty Club. 

5.11  Participation as a member in the Shopee Supermarket Membership Programme is non-transferable and shall be for the personal use of the member only.

5.12  Rewards provided under the Shopee Supermarket Membership Programme are not redeemable for cash nor are they exchangeable for other rewards under any circumstances. Rewards cannot be resold, exchanged, or transferred for value under any circumstances. Rewards shall not be regarded, construed, or used as valuable or exchangeable instruments under any circumstances.

5.13  In the event of inconsistency between the following documents, the terms of any earlier-listed document will prevail over any later-listed document to the extent of that inconsistency:

1. any applicable terms and conditions contained within or governing the redemption and/or usage of such Shopee Supermarket vouchers and/or rewards;
2. Shopee Policies; and 
3. these Shopee Supermarket Terms. 

5.14  The laws of Singapore shall apply and govern these Shopee Supermarket Terms. Any dispute arising out of or relating to these Shopee Supermarket Terms, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) under the SIAC Administered Arbitration Rules in force when the notice of arbitration is submitted. The seat of arbitration shall be Singapore. The number of arbitrators shall be one. The arbitration proceedings shall be conducted in English.
