General

1.  The following terms and conditions govern the seller’s participation in the Brand Membership Program (“Program”) provided by Shopee Singapore Private Limited (“Shopee”) on Shopee’s website and mobile applications (“Platform”).

2.  By participating in this Program, the seller accepts and agrees to be bound by these terms and conditions and any rules and regulations relating to the Program (“Program Terms”), in addition to all applicable terms and conditions and/or Shopee policies (“Shopee Policies”), which are incorporated by reference.

Eligibility       

3.  Only sellers with registered and valid Shopee accounts are entitled to participate in the Program.

4.  Shopee shall have sole and absolute discretion in determining whether the seller is qualified to participate in and/or is disqualified from the Program.

Program Mechanics

5.  The Program allows the seller to create a membership program on the Platform for Shopee-registered buyers (“Buyers”). A Buyer will be able to exchange accumulated points (based on spending) to rewards. 

6.  All costs related to the benefits set up within the Program will be solely borne by the Seller.

7.  Apart from the restrictions set out in clause 8, the seller agrees that the seller retains sole discretion and responsibility in determining the mechanics of the membership program, including: 

1. membership tiers; 
2. reward structures for each membership tier; 
3. minimum spending thresholds for each membership tier; and 
4. any other rules related to the membership program. 

8.  The seller agrees to incorporate the following elements into its membership program:

1. that all Buyers are eligible to join the “basic tier” in any membership program. 
2. there is no expiry date of a Buyer’s membership in the “basic tier” of any membership program.
3. any membership tiers apart from the “basic tier” expires 12 months from the date of qualification into that particular membership tier. 
4. a Buyer will remain in a particular membership tier if a Buyer accumulates sufficient points to qualify to remain in that tier. If a Buyer does not accumulate sufficient points to qualify to remain in that tier, a Buyer will be downgraded to the next membership tier that the Buyer qualifies for.
5. returned, refunded or cancelled orders shall not be eligible to receive any points under a membership program. 
6. any membership points accumulated by a Buyer can only be redeemed for rewards offered by that seller. 
7. membership points cannot be redeemed or exchanged for cash rewards and cannot be resold, exchanged or transferred for value, including amongst Buyers and can only be used for personal use. 

9.  The seller agrees that:

1. Shopee has the right to withhold membership points until a Buyer’s transaction is complete on the Platform. 
2. Shopee has the right to suspend the calculation and accrual of membership points to rectify any errors in calculation.
3. Shopee is not responsible for any cancellation or forfeiture of membership points or rewards. 
4. Shopee may recommend the voucher mechanics and quantities for the membership program, which are provided solely as recommendations and will not be live until approved by the seller. 
5. the seller is solely responsible for reviewing, and if necessary, modifying the voucher value and quantity to align with the seller’s preference and budget. 
6. vouchers will only be live once the seller has approved the voucher mechanics and quantities. 

Miscellaneous

10.  By participating in the Program, the seller agrees to:

1. comply with all applicable laws and regulations when participating in the Program; 
2. comply with the Shopee Policies; and
3. not participate in the Program in any manner which may adversely affect other individuals or the goodwill or reputation of Shopee. 

11.  The Program and the Platforms are provided on an “as is” and “as available” basis and subject to the availability and functionality of Shopee’s services. Shopee does not make any representation, warranty and/or undertaking on the performance and capability of the Platforms; any software or hardware used to access and participate in the Program, including an individual’s access and use of the Platforms; and the reliability or quality of the underlying telecommunications network accessed and used by the seller to participate in the Program.

12.  If for any reason any aspect of the Program is not capable of running as planned, due to reasons such as communications network failure, bugs, tampering, fraud, technical failure or any cause beyond the control of Shopee, Shopee may cancel, terminate, modify and/or suspend the Program and nullify any results.

13.  Shopee reserves the right to make final decisions and resolve disputes regarding the Program. In this regard, Shopee may disqualify the seller from participating in the Program and/or to take any other action pursuant to the Shopee Policies, if Shopee determines (at its sole and absolute discretion) that the seller has engaged in any suspicious, fraudulent or illegal acts, abused the Program or otherwise breached these Program Terms and/or any of the Shopee Policies.

14.  To the maximum extent permitted by applicable laws, Shopee will not be liable for any claims, costs, injuries, losses or damages of any kind whatsoever arising out of or in connection with this Program, including but not limited to any losses; direct, indirect, incidental punitive and consequential damages; fines; regulatory actions; claims, costs, injuries, losses or damages related to personal injuries, death, damage to, loss or destruction of property, right of publicity or privacy, defamation, or portrayal in false light.

15. Shopee reserves the right to vary these Program Terms without notice, or withdraw or discontinue the Program at any time without any notice or liability to any party. The seller agrees that the seller is responsible for accessing, reviewing and keeping the seller updated on all amendments. The seller’s continued participation in the Program after any amendments shall be deemed as the seller’s confirmation and acceptance of such amendments and all the amendments shall be valid and applicable to the seller. 

16. The seller shall be responsible for all applicable taxes, duties, government fees and other charges arising due to the seller’s participation in the Program. 

17. Shopee shall not be liable to fulfil any obligations under these Program Terms due to circumstances or events occurring beyond Shopee’s control, including but not limited to acts of God, natural disasters, pandemic or epidemic, governmental actions or restrictions, internet or telecommunications failures, cyberattacks, server outages, third-party platform disruptions, labour disputes or acts of war or terrorism. 

18.  In the event of any inconsistency between these Program Terms and any marketing or Program materials, these Program Terms shall prevail.

19.  Any and all rights of interpretation and explanation of these Program Terms are exclusively reserved by Shopee. Shopee acknowledges that Shopee, and not any third party, is responsible for addressing any claims that the seller or any third party may have in relation to the Program.
