1.1 Shopee offers off-platform advertising services where Sellers may advertise their items on third party channels (“Channels”) through the Shopee Seller Centre and other site/s on an ongoing basis (“Off-Platform Advertising Services”). Shopee provides the Off-Platform Advertising Services as an intermediary in accordance with these Terms of Service, any explanatory materials published on this Site, the Seller Centre and the rules of each Channel (hereinafter referred to as the " Off-Platform Advertising Rules"). Sellers who purchase Off-Platform Advertising Services agree to be bound by the Off-Platform Advertising Rules. If you are not agreeable to being bound by the Off-Platform Advertising Rules, do not buy any Off-Platform Advertising Services.

1.2 In order to purchase Off-Platform Advertising Services, you must be an eligible Seller under the Off-Platform Advertising Rules. At the time you purchase and pay for the Off-Platform Advertising Services, your Account must not be suspended.

1.3 You may purchase Off-Platform Advertising Services by purchasing advertising credits in the Seller Centre or other site/s (“Off-Platform Advertising Credits”), and fees payable for the Off-Platform Advertising Services will be deducted from the Off-Platform Advertising Credits by Shopee.  All Off-Platform Advertising Credits will be exclusive of any goods and services tax, which shall be invoiced in addition to the Off-Platform Advertising Credits and shall be paid and borne by you. Except as otherwise provided in the applicable Off-Platform Advertising Rules, you may not cancel the order and/or request for a refund after you have purchased Off-Platform Advertising Credits and completed the payment process.

1.4 You may also choose to have your Off-Platform Advertising Credits automatically topped up via your Seller Wallet (“Top Up Feature”) if your Off-Platform Advertising Credits balance falls below an amount set by you (“Minimum Amount”). When activating the Top Up Feature, you may choose the Minimum Amount and the amount of top up, and you consent to the debit of your Seller Wallet in accordance with these Terms of Service.

1.5 When you purchase Off-Platform Advertising Services, you can allocate Off-Platform Advertising Credits to Channels which you are eligible to use, set different campaign budgets, set marketing periods, etc. in accordance with the Off-Platform Advertising Rules. The Off-Platform Advertising Services for each campaign will be activated and will expire on the respective dates set by you (the “Advertising Period”). You will not be entitled to transfer allocated Off-Platform Advertising Credits from one Channel to another for any reason. You will be responsible for ensuring that products advertised on the Channels are approved products in order to run your campaign successfully. Off-Platform Advertising Credits will not be refunded.

1.6 The goods you advertise on the Channels must comply with all relevant laws and regulations, the Off-Platform Advertising Rules, these Terms of Service and the rules and restrictions of the relevant Channel. You understand and agree that Shopee and the Channel have the right to immediately reject or remove any advertising which violates any of the foregoing. Any Off-Platform Advertising Credits you have used in relation to any advertising removed pursuant to this section will not be refunded, and Shopee will not be liable to compensate you for any loss whatsoever in relation to such removal.  

1.7 You understand and agree that Shopee does not warrant or guarantee any increase in viewership or sales of your items as a result of the Off-Platform Advertising Services.

1.8 You are advised to only purchase Off-Platform Advertising Services after fully considering your budget and intended advertising objectives. Except as otherwise provided in these Terms of Service or the Off-Platform Advertising Rules, Shopee shall not be liable for any compensation or be subject to any liability (including but not limited to actual expenses and lost profits) for the results or intended results of any Off-Platform Advertising service.

1.9 IF, NOTWITHSTANDING ANYTHING IN THESE TERMS OF SERVICE, SHOPEE IS FOUND BY A COURT OF COMPETENT JURISDICTION TO BE LIABLE (INCLUDING FOR GROSS NEGLIGENCE) IN RELATION TO ANY OFF-PLATFORM ADVERTISING SERVICE, THEN, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ITS LIABILITY TO YOU OR TO ANY THIRD PARTY IS LIMITED TO THE AMOUNT PAID BY YOU FOR THE OFF-PLATFORM ADVERTISING SERVICE IN QUESTION ONLY.

1.10 For Sellers located in Singapore, the tax invoices for the automatic top up of Off-Platform Advertising Services can be retrieved from the Seller Centre.
