Shopee Digital Products Terms of Service



Shopee Digital Products is an additional category of products on Shopee where sellers may have their digital products, such as vouchers and credits, listed for sale on the Platform (“Digital Products”).  If you are a seller of Digital Products (“Digital Products Seller”), you will be deemed to (i) have consented to the terms and conditions described in these Shopee Digital Products Terms of Service (“Digital Products Terms of Service”) by making your Digital Products available for sale on the Platform, and (ii) be a Mall Seller, and shall be subject to the Shopee Mall Terms of Service.  These Digital Products Terms of Service supplement the Terms of Service and the other Shopee Policies, of which these Digital Products Terms of Service forms a part – please read the Terms of Service and the other Shopee Policies available on the Site as they contain important information regarding your rights and obligations.  Any terms that are used in these Digital Products Terms of Service that are not defined here will have the meanings given to such terms in the Terms of Service and/or the applicable Shopee Policy.  All terms and conditions described in these Digital Products Terms of Service are subject to change at Shopee’s discretion pursuant to the Terms of Service.   


1. Digital Products Seller Terms and Conditions


1.1 Each Digital Products Seller warrants that (a) the Digital Products supplied for sale on Shopee (i) complies with applicable law and the specifications listed (and made available to Buyers) on the Site, and (ii) are free from errors, faults or defects, and (b) all information provided to Shopee (including, but not limited to, product terms and conditions, descriptions, images, redemption instructions, prices, product eligibility and availability and bank details) is true and accurate.  


1.2 Each Digital Products Seller understands and agrees that it will be responsible for any non-conformity or defect in any of the Digital Products Items, and will hold Shopee harmless from any losses relating to the foregoing, including any refunds made to Buyers. 


1.3 Shopee’s determination to approve a refund to a Buyer of a Digital Product is binding on the relevant Digital Products Seller.  Digital Products Sellers agree to comply and do all such things as necessary to give effect to a Buyer’s request for a refund approved by Shopee.


2. Digital Products Transaction Fees and Other Fees


2.1 Shopee charges a fee for all fulfilled transactions of Digital Products on the Platform, including refunded transactions (“Digital Products Transaction Fee”). The Digital Products Transaction Fee is borne by the Digital Products Seller, and is calculated as a percentage (as determined by Shopee and notified to Digital Products Seller from time to time) of the Gross Settlement Price, rounded up to the nearest cent. The Gross Settlement Price for a Digital Product is the nominated sale price for that item as notified in writing by the Digital Product Seller to Shopee.  The Digital Products Transaction Fee is subject to GST (“Digital Products Tax Amount”), and the Digital Products Seller is responsible for such Digital Products Tax Amount.  Shopee shall issue receipts or tax invoices for the Digital Products Transaction Fee and Digital Products Tax Amount paid by Digital Products Seller on request.


2.2 Shopee may offer other services, such as advertising services, to Digital Products Sellers (“Added Services”).  The scope of the Added Services and applicable fees (“Added Services Fees”) shall be agreed between Shopee and the Digital Products Seller from time to time.  The Added Services Fee is subject to GST (“Added Services Tax Amount”), and the Digital Products Seller is responsible for such Added Services Tax Amount.  Shopee shall issue receipts or tax invoices for the Added Services Fee and Added Services Tax Amount paid by Digital Products Seller on request..


2.3 For the avoidance of doubt, Digital Products Sellers shall be charged the Digital Products Transaction Fee instead of, and not in addition to, the Shopee Mall Transaction Fee.


2.4 Following a withdrawal request by Digital Products Seller, Shopee shall deduct the Digital Products Transaction Fee and Digital Products Tax Amount, and (if applicable) the Added Services Fees and Added Services Tax Amount, from the Gross Settlement Price for each Digital Product sold on the Platform, and remit the balance to the bank account nominated by Digital Products Seller.
